1. About Us

PassLite is a digital wallet pass platform operated by Otherlink Ltd, trading as PassLite, registered in England and Wales. Our platform enables businesses to create, distribute, and manage Apple Wallet and Google Wallet passes including loyalty cards, event tickets, coupons, memberships, gift cards, and more.

2. Acceptance of Terms

By accessing or using the PassLite platform, website, API, or any associated services (collectively, the “Service”), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use the Service. These terms apply to all users including business owners, administrators, staff members, and end users (customers).

3. Definitions

  • “Business User” means any person or entity that registers for an account to create, manage, or distribute digital wallet passes.
  • “End User” or “Customer” means any individual who receives, installs, or interacts with a digital wallet pass.
  • “Pass” means a digital wallet pass created through the Service for use in Apple Wallet, Google Wallet, or other compatible platforms.
  • “Platform Fees” means the per-transaction fees charged on online payments processed through the Service (currently 1% + 20p per transaction).

4. Changes to These Terms

We reserve the right to amend these terms at any time. Material changes will be notified via email or in-app notification at least 14 days in advance. Your continued use of the Service after the effective date constitutes acceptance. If you disagree with any changes, you may terminate your account before the changes take effect.

5. Service Description

PassLite provides a SaaS platform for creating and managing digital wallet passes compatible with Apple Wallet and Google Wallet. Features include pass design, issuance, real-time push updates, analytics, QR/NFC scanning, customer management, automations, API access, payment processing, and engagement tools (subject to plan).

We offer multiple subscription tiers (Free, Pro, Enterprise) with varying feature limits. Plan details and pricing are available on our pricing page and are subject to change with 30 days’ notice. Feature availability may differ between plans.

6. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials, API keys, and webhook secrets, and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

You must be at least 18 years old to create an account. By registering, you represent that you have the legal authority to enter into these terms on behalf of yourself or your organisation.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Distribute malicious content, spam, phishing, or misleading information via passes
  • Create passes that impersonate another business or individual
  • Infringe on the intellectual property rights of others
  • Attempt to gain unauthorised access to the Service, its infrastructure, or other users’ accounts
  • Use automated tools (scrapers, bots) to access the Service without written permission
  • Resell, sublicense, or redistribute the Service without authorisation
  • Use the Service to process special category data (health, biometric, political, religious) unless expressly agreed
  • Circumvent plan limits, rate limits, or security measures
  • Use the API in a manner that degrades performance for other users

We reserve the right to suspend accounts that violate these rules without prior notice. Repeated violations may result in permanent termination.

8. Business User Responsibilities

As a Business User, you acknowledge and agree that:

  • You are the data controller for all customer personal data collected through your passes. PassLite acts as a data processor on your behalf.
  • You are solely responsible for the content, accuracy, and legality of your passes, offers, promotions, and customer communications.
  • You must comply with all applicable consumer protection laws, including accurate pricing, clear terms for promotions, and honouring advertised rewards.
  • You must obtain appropriate consent before collecting customer data (email, name, birthday, phone) through pass signup forms.
  • You are responsible for honouring all rewards, points, stamp completions, and gift card balances displayed on passes you issue.
  • You must not issue passes that make false or misleading claims.

9. Intellectual Property

All rights, title, and interest in the PassLite platform, including its design, code, branding, documentation, API, and algorithms, remain the exclusive property of Otherlink Ltd. You retain ownership of content you upload (logos, images, pass data). By uploading content, you grant us a non-exclusive, worldwide, royalty-free licence to use, display, and transmit it solely for the purpose of providing the Service.

You must not copy, modify, reverse engineer, decompile, or create derivative works based on the Service. The PassLite name, logo, and branding are trademarks of Otherlink Ltd.

10. Payment, Billing and Platform Fees

Paid subscriptions are billed monthly via Stripe. All prices are in GBP unless otherwise stated. You authorise us to charge your payment method for recurring subscription fees. Subscriptions auto-renew unless cancelled before the end of the billing period.

For online payments processed through the Service (gift card purchases, ticket sales, top-ups), Platform Fees of 1% + 20p per transaction apply on Pro and Enterprise plans. These fees are deducted automatically before funds are transferred to your Stripe connected account. Platform Fees are non-refundable.

Refunds for subscriptions are handled on a case-by-case basis. Refunds for customer purchases (gift cards, tickets) processed through Stripe Connect are the Business User’s responsibility. Downgrades take effect at the end of the current billing period. We reserve the right to change pricing with 30 days’ notice.

If payment fails, we may restrict access to paid features until payment is resolved. Accounts with outstanding balances may be suspended after 14 days.

11. API Terms

API access is available on Pro and Enterprise plans. API keys are confidential and must not be shared publicly or embedded in client-side code. You are responsible for all API calls made using your keys.

We impose rate limits to ensure fair usage. Excessive API usage that degrades the Service may result in temporary throttling or suspension. We reserve the right to modify the API with reasonable notice, though we will endeavour to maintain backward compatibility.

12. Apple and Google Wallet

PassLite facilitates the creation of passes for Apple Wallet and Google Wallet. We are not affiliated with, endorsed by, or sponsored by Apple Inc. or Google LLC. Apple, Apple Wallet, iPhone, and iOS are trademarks of Apple Inc. Google and Google Wallet are trademarks of Google LLC.

Your use of Apple Wallet and Google Wallet passes is subject to Apple’s and Google’s respective terms of service and developer programme agreements. We do not guarantee compatibility with all devices, OS versions, or wallet versions. Changes to Apple’s or Google’s platforms may affect pass functionality, and we are not liable for such changes.

13. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. As a Business User, you are the data controller for customer data processed through your passes. PassLite acts as a data processor in accordance with a Data Processing Agreement (DPA) which forms part of these terms.

You are responsible for ensuring your use of the Service complies with applicable data protection laws including UK GDPR, and for providing appropriate privacy notices to your customers. You must not use the Service to collect personal data beyond what is necessary for the pass functionality you are offering.

14. Service Availability and SLA

We target 99.9% uptime but do not guarantee uninterrupted access. We may suspend or restrict the Service for maintenance, security updates, or operational reasons. We will provide reasonable notice where possible, and scheduled maintenance will be performed during off-peak hours.

The Service is provided “as is” and “as available” without warranty of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

15. Limitation of Liability

To the fullest extent permitted by law, Otherlink Ltd (trading as PassLite) shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Damages arising from the actions or omissions of Business Users towards their customers
  • Damages caused by third-party services (Stripe, Resend, Apple, Google, hosting providers)
  • Loss or corruption of pass data, customer data, or analytics data
  • Downtime, service interruptions, or delays in push notification delivery

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim, or (b) £100. Nothing in these terms limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Otherlink Ltd, its directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service or violation of these terms
  • The content, accuracy, or legality of passes you create or distribute
  • Any dispute between you and your customers
  • Your failure to comply with applicable laws, including data protection, consumer protection, or advertising standards
  • Any claim that your content infringes third-party intellectual property rights

17. Termination

You may terminate your account at any time by contacting us or through the dashboard settings. We may suspend or terminate your account immediately if you breach these terms, engage in fraudulent activity, or cause harm to the Service or other users.

Upon termination: (a) your right to use the Service ceases immediately; (b) all outstanding fees become due; (c) we will delete your data within 90 days unless retention is required by law; (d) existing issued passes may continue to function on end users’ devices but will no longer receive updates. Sections 9, 15, 16, and 20 survive termination.

18. Dispute Resolution

In the event of a dispute, you agree to first attempt to resolve it informally by contacting us at support@passlite.io. If the dispute cannot be resolved within 30 days, either party may pursue formal resolution. We encourage the use of mediation before litigation.

19. Severability

If any provision of these terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer in the EU/EEA, you may also have recourse to the European Online Dispute Resolution platform.

21. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and Otherlink Ltd (trading as PassLite) relating to the Service and supersede all prior agreements, representations, and understandings.
